– Michelle Mabugat, Manzuri Law
Known as a strategic out-of-box thinker, Michelle has handled a wide variety of cannabis-related matters, ranging from criminal defense at both the state and federal level, to closing large, complex and innovative corporate transactions.
Backed by 8 years of dedicated cannabis experience, Michelle regularly advises licensed operators, ancillary businesses and investors on a variety of legal issues including corporate formation and governance, licensing and compliance, capital raising transactions, M&A due diligence, licensing agreements, best business practices and defense.
Last year, Michelle co-authored “Legal Weed: A Comprehensive Guide to California Cannabis Law & Regulation,” one of the first authoritative publications on California’s regulatory landscape.

Pam is the founder of Greenwise Consulting and a prominent figure in cannabis business and legal concerns. She’s been effective in guiding municipalities through the legislative process and participated in the most recent LA hearing.
Of note, Pam serves as an adjunct professor, most recently teaching the first cannabis law course at Arizona Summit Law School. Prior to her work in cannabis, Pamela founded the Sierra Club’s Environmental Law & Policy Clinic in San Diego.

Prior to working in cannabis, Jay worked as a corporate attorney for tech companies. Beginning at Wilson Sensing Goodrich & Rosati, he was trained to represent growth-companies from “idea to exit,” concentrating on financial transactions, employment incentives, commercial agreements and mergers/acquisitions.
At ClarkNeubert LLP, Jay represents high-growth cultivators, manufactures, distributors and dispensaries throughout California, and the investors who back them. Counseling all types of California corporations, he regularly advises collectives/cooperatives and non-profit mutual/public benefit corporations on conversions and acquisition strategies.
